It Service Distribution Agreement

(a) the property. The distributor recognizes the supplier`s exclusive ownership of the trademarks and does not acquire rights, securities or shares on or on the trademarks under this agreement. Any value associated with the brands is exclusively beneficial to the supplier. During the lifetime, the distributor must not attempt to register trademarks or trademarks, service marks, logos, brand names, trade names, domain names and/or slogans confusing with the brands. The distributor executes these documents and performs all necessary acts and actions, after reasonable advice from the supplier, to establish the supplier`s ownership of the rights and trademarks at the supplier`s expense. Essential elements of a distribution agreement include the duration (period during which the contract is in effect), delivery conditions and distribution areas covered by the agreement (regions located in the United States and/or international markets). d. Sub-agents. The distributor may designate sub-agents, negotiators, sub-representatives or others who act on behalf of the distributor or otherwise fulfill the distributor`s obligations under this agreement within the territory; provided that (i) any compensation for these sub-agents, sub-agents, sub-representatives or other persons, to act on behalf of the distributor or to discharge any other of the distributor`s obligations, is exclusively the responsibility of the distributor, and (ii) that appointment does not deprive the entity of the essential rights to which it is entitled under this Agreement. An agreement with this sub-agent, negotiator, deputy representative or any other person does not exceed the duration of this agreement. (e) permissions. The supplier is responsible for obtaining all applicable administrative approvals necessary to enable the distributor to obtain market, sale and service authorizations for products in the territory. The supplier will bear all costs associated with these authorizations.

a. Exclusive appointment. Subject to the terms of this dealer agreement, the company designates and grants the distributor the exclusive right to sell and distribute the products to customers in the territory (the “customers”) and to provide non-distributor services to the company, as stated here in this section. The distributor limits its product activities to customers within the territory and, without the company`s explicit written consent, forgoes selling or transferring the products directly or indirectly to a person outside the territory. The company is not authorized to sell or deliver products on the territory, directly or indirectly, except through the distributor, and the company cannot address the distributor`s customers without the company`s prior written permission. CONSIDERING that the supplier wishes to make these products available to the distributor for distribution in these countries on an exclusive basis; (d) training. The supplier will periodically provide distributor employees with marketing, sales and product service training, with the frequency and content of the training to be determined by the supplier.
